This Affiliate Agreement ("Agreement") is entered into between WePay Affiliates ("Company", "We", "Us", or "Our") and you ("Affiliate", "You", or "Your"). By registering for our affiliate program, you agree to be bound by the terms and conditions set forth in this Agreement.

1. Acceptance of Terms

By registering as an affiliate and/or using any of the affiliate services provided by WePay Affiliates, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms, please do not register for or use our affiliate services.

2. Affiliate Program Overview

The WePay Affiliates program enables you to earn commissions by referring players to our partner casino brands: Casino Hermes, Europe 777 Casino, and Mr Baron Casino. Commissions are paid based on the performance of referred players according to the commission structure outlined in your account.

3. Eligibility

To participate in our affiliate program, you must:

• Be at least 18 years of age (or the legal age of majority in your jurisdiction)
• Have the legal capacity to enter into binding contracts
• Operate a legitimate website or promotional channel
• Comply with all applicable laws and regulations in your jurisdiction
• Not be a resident of a restricted territory (as defined by the casino brands)
• Not be an employee, relative, or affiliate of WePay Affiliates or its partner brands

4. Affiliate Obligations

4.1 Promotional Activities

As an affiliate, you agree to:

• Promote our brands in a professional and ethical manner
• Use only approved marketing materials or create your own in compliance with our brand guidelines
• Accurately represent the casino brands and their offerings
• Not make false, misleading, or exaggerated claims about our brands or services
• Maintain your promotional channels in good standing

4.2 Prohibited Activities

You are strictly prohibited from:

• Engaging in spamming, including but not limited to email spam, forum spam, or comment spam
• Using any form of incentivized traffic or forced clicks
• Bidding on our brand names or trademarks in paid search campaigns
• Engaging in cookie stuffing or other forms of fraudulent tracking manipulation
• Creating fake accounts or referring yourself to earn commissions
• Promoting to minors or in jurisdictions where online gambling is prohibited
• Using misleading or deceptive advertising practices
• Infringing on intellectual property rights of WePay Affiliates or its partners
• Engaging in any illegal or unethical promotional activities

5. Commission Structure

5.1 Revenue Share

Affiliates can earn revenue share commissions based on the net revenue generated by referred players. The commission tiers are:

• 0 Players: 25%
• 1-14 Players: 35%
• 15-29 Players: 40%
• 30+ Players: 45%

5.2 Cost Per Action (CPA)

Custom CPA deals are available upon request and approval by your account manager. CPA commissions are paid for qualifying first-time depositors according to the agreed terms.

5.3 Sub-Affiliate Commission

Affiliates can earn up to 10% commission on the revenues generated by sub-affiliates they refer to the program.

5.4 Commission Calculation

Commissions are calculated monthly based on net revenue, which is gross revenue minus bonuses, chargebacks, refunds, and other deductions. There is no negative carryover.

6. Payments

6.1 Payment Schedule

Payments are processed monthly, typically within the first 15 business days of the following month, provided your account balance meets the minimum threshold.

6.2 Minimum Payment Threshold

The minimum payment threshold is $100 (or equivalent in other currencies). If your balance does not meet this threshold, the amount will be carried forward to the next month.

6.3 Payment Methods

We offer the following payment methods:

• Wire Transfer (Bank Transfer)
• Cryptocurrency (Bitcoin)

6.4 Payment Fees

WePay Affiliates covers standard payment processing fees. However, any additional fees imposed by your receiving bank or payment provider are your responsibility.

7. Tracking and Reporting

We use industry-standard tracking technology to monitor referrals and calculate commissions. You have access to real-time statistics through your affiliate dashboard. While we make every effort to ensure accurate tracking, we are not liable for any technical issues that may affect tracking accuracy.

8. Intellectual Property

All trademarks, logos, and promotional materials provided by WePay Affiliates remain our property. You are granted a limited, non-exclusive, non-transferable license to use these materials solely for the purpose of promoting our brands during the term of this Agreement.

9. Liability and Indemnification

You agree to indemnify and hold harmless WePay Affiliates, its partners, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your breach of this Agreement
• Your promotional activities
• Any violation of applicable laws or third-party rights
• Any claims made by players referred by you

10. Confidentiality

You agree to keep confidential any proprietary information shared by WePay Affiliates, including but not limited to commission structures, player data, and business strategies. This obligation survives the termination of this Agreement.

11. Term and Termination

11.1 Term

This Agreement begins upon your registration and continues until terminated by either party.

11.2 Termination by Affiliate

You may terminate this Agreement at any time by providing 30 days written notice to WePay Affiliates.

11.3 Termination by Company

We reserve the right to terminate this Agreement immediately if:

• You breach any terms of this Agreement
• You engage in fraudulent or illegal activities
• Your promotional methods are deemed inappropriate or harmful
• You fail to generate active players for a period of 12 consecutive months

11.4 Effect of Termination

Upon termination:

• You must immediately cease all promotional activities
• You must remove all affiliate links and promotional materials
• Outstanding commissions will be paid according to our normal payment schedule
• Your access to the affiliate platform will be revoked

12. Modification of Terms

We reserve the right to modify this Agreement at any time. Material changes will be communicated via email or through your affiliate dashboard. Continued participation in the program after such modifications constitutes acceptance of the new terms.

13. Disclaimer of Warranties

The affiliate program is provided "as is" without warranties of any kind, either express or implied. We do not guarantee uninterrupted service, error-free operation, or specific results from your promotional efforts.

14. Limitation of Liability

To the maximum extent permitted by law, WePay Affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your participation in the affiliate program, including but not limited to loss of profits, revenue, or data.

15. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which WePay Affiliates is registered, without regard to its conflict of law provisions.

16. Dispute Resolution

Any disputes arising from this Agreement shall be resolved through good faith negotiations. If negotiations fail, disputes shall be submitted to binding arbitration in accordance with the rules of the relevant arbitration body.

17. Entire Agreement

This Agreement constitutes the entire agreement between you and WePay Affiliates regarding the affiliate program and supersedes all prior agreements and understandings, whether written or oral.

18. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

19. Assignment

You may not assign or transfer your rights under this Agreement without our prior written consent. We may assign our rights and obligations under this Agreement without restriction.
